Acquisitions and Sales
Brown Rudnick regularly represents its clients in the acquisition and sale of
commercial properties. In particular, our attorneys are experienced in the
purchase of properties for retail development. Our attorneys also have
experience in “portfolio” transactions across multiple jurisdictions, as well as
purchases and sales in connection with 1031 tax deferred exchanges, purchases of
leaseholds in bulk sale bankruptcy and non-bankruptcy scenarios and
sale/leasebacks. The firm works closely with its clients and with other
consultants in analyzing properties and addressing issues that arise in
connection with the purchase and sale of assets.
Leasing
We provide comprehensive leasing services in connection
with all types of commercial projects throughout the U.S. By regularly
representing both tenants and landlords, we offer perspectives that can be
valuable assets in crafting and negotiating agreements that meet specialized
concerns.
Our attorneys offer decades of experience working on hundreds
of transactions. We have represented a number of the nation’s most prominent
retail tenants and landlords in leasing transactions involving properties such
as regional malls, power centers, strip centers, freestanding stores and urban
locations.
Development
We represent developers, including self-developing retailers, in projects
located throughout the Northeast as well as elsewhere in the United States. Our
broad experience and familiarity with local, state and federal regulatory issues
have made important contributions to our clients’ success in a variety of
project types.
Zoning and Land Use
We actively assist our clients in matters relating to zoning, permitting
and land use. In the last few years alone, our attorneys have participated in
the zoning and permitting of over a thousand sites in hundreds of
cities and towns throughout New England. We have a proven track record of
obtaining permits and approvals from the boards and authorities in these
municipalities.
Our zoning and land use practice works extensively with our Government Law &
Strategies Group. The efforts of both practice areas have afforded us the
ability to cultivate new, and maintain existing, relationships with key
officials in many of these communities.
We advise our clients in navigating the labyrinth of zoning, subdivision,
environmental, wetlands, highway connections, historic district, scenic river,
tidelands and coastal zone management laws and regulations. With efficiency and
expediency, our attorneys leverage their experience and relationships to
negotiate through this regulatory maze.
Financing
Brown Rudnick is adept at structuring complex loans, including participation and
construction loans, tax-exempt loans, and publicly subsidized financing, as well
as more conventional financings. We are also experienced in representing lenders
and borrowers in connection with conduit loans and credit tenant lease
financings.
We represent our retail clients as borrowers in a variety of financing
transactions, including structured portfolio financings.
We also represent retail finance divisions of major financial institutions
lending to national and regional retail chains. This practice affords us a
unique perspective in understanding many of the financial and operational issues
confronting our retailer clients.
